MBR Certificate of Incumbency: What It Is and How to Get One

The Incumbency Certificate confirms that the company is still registered and lists its shareholders, directors and company secretary.

What it is and who issues it

In Malta, the Malta Business Registry (MBR) issues the certificate. It records the company’s registration details, its current shareholders, directors and company secretary as at the date of issue.

What it includes

  • The company name and registration number
  • Confirmation that the company is registered and still so registered
  • The present shareholder(s) and number of shares held
  • The present director(s)
  • The present company secretary
  • The registrar’s signature and date of issue

How it differs from a Certificate of Good Standing

An incumbency certificate shows who holds office. A Certificate of Good Standing confirms that a company is active and not in liquidation. The two answer different questions, but banks and regulators often request them together, so check whether the requesting party needs one, the other, or both.
